TO THE EXTENT PERMITTED BY LAW, COINCIRCUIT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO COINCIRCUIT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless CoinCircuit, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through the following process:

Class Action Waiver: TO THE EXTENT PERMITTED BY LAW, YOU AND COINCIRCUIT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

CoinCircuit shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, shortages of transportation facilities, fuel, energy, labor or materials, blockchain network failures, or government regulations or restrictions.

CoinCircuit reserves the right to modify, amend, or update these Terms at any time at our sole discretion. We will provide notice of material changes by:

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without CoinCircuit's prior written consent. CoinCircuit may assign these Terms without restriction.

No Agency: No agency, partnership, joint venture, or employment relationship is created between you and CoinCircuit as a result of these Terms or your use of the Service.

Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.

Notices: All notices to CoinCircuit shall be sent to legal@coincircuit.io. Notices to you may be sent to your registered email address or posted on the Service.

Export Compliance: You agree to comply with all applicable export and import control laws and regulations in your use of the Service.

  • "Service": The CoinCircuit cryptocurrency payment gateway platform, including all features, APIs, SDKs, webhooks, dashboard, documentation, and all services offered by CoinCircuit.
  • "User," "You," "Your": Any individual or legal entity that accesses, registers for, or uses the Service, including merchants, developers, and end-users.
  • "Account": A registered user profile on the Service with unique credentials used to access features and functionality.

  • "Cryptocurrency": Digital or virtual currency that uses cryptography for security and operates on blockchain technology, including but not limited to Bitcoin, Ethereum, USDT, USDC, and other supported digital assets.
  • "Transaction": Any payment, transfer, or exchange of cryptocurrency facilitated through the Service.
  • "Merchant": A User who uses the Service to accept cryptocurrency payments for goods or services.
  • "API": Application Programming Interface provided by CoinCircuit for integration with the Service.
  • "Intellectual Property": All patents, trademarks, service marks, copyrights, trade secrets, and other intellectual property rights.
  • You are at least 18 years of age or the age of majority in your jurisdiction
  • You have the legal capacity to enter into binding contracts
  • You are not located in, under the control of, or a national or resident of any restricted country listed in our AML Policy
  • You are not on any trade or economic sanctions lists, such as UN, EU, or US Treasury Department's sanctions lists
  • Your use of the Service will not violate any applicable law or regulation
  • You have not been previously suspended or removed from the Service
  • Providing accurate, current, and complete information during registration and maintaining such information throughout your use of the Service
  • Maintaining the security and confidentiality of your account credentials, including passwords and API keys
  • All activities that occur under your account, whether or not authorized by you
  • Notifying CoinCircuit immediately of any unauthorized access or use of your account or any other breach of security
  • Taking reasonable steps to prevent unauthorized access to your account
  • Comply with all applicable local, state, national, and international laws and regulations
  • Provide accurate and truthful information
  • Use the Service only for lawful business purposes
  • Maintain appropriate security measures for your account and API keys
  • Comply with our AML Policy and KYC requirements
  • Notify us immediately of any security breaches
  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Violate any laws, including but not limited to money laundering, terrorist financing, or sanctions laws
  • Process transactions involving illegal goods or services, or activities listed in our AML Policy
  • Engage in market manipulation, wash trading, or other deceptive practices
  • Infringe upon the intellectual property rights of CoinCircuit or third parties
  • Attempt to probe, scan, test vulnerabilities, or breach security measures of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Access the Service through automated means (bots, scrapers, etc.) without our express written permission
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
  • Transmit any viruses, malware, or other malicious code
  • Impersonate another person or entity
  • Collect or harvest personal information from other users
  • Use the Service to facilitate transactions for third parties without proper authorization
  • Circumvent any access restrictions or rate limits
  • You agree to provide accurate identity verification information when requested
  • You may be required to complete Know Your Customer (KYC) procedures
  • We may request additional documentation to verify your identity and business activities
  • We reserve the right to monitor, investigate, and report suspicious transactions to appropriate authorities
  • Your account may be suspended or terminated if you fail to comply with KYC/AML requirements
  • We may freeze or block transactions that appear suspicious or violate our AML Policy
  • All fees are exclusive of applicable taxes, duties, and government charges unless otherwise stated
  • Transaction fees are calculated based on the cryptocurrency network and transaction volume
  • Fees are deducted from transactions in real-time or billed according to your service plan
  • Subscription fees, if applicable, are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise specified in writing
  • CoinCircuit reserves the right to change fees with 30 days' advance notice posted on our website or sent via email
  • You are responsible for all network fees (gas fees, miner fees, etc.) associated with cryptocurrency transactions
  • Failure to pay fees may result in suspension or termination of your account
  • Cryptocurrency values are highly volatile and may result in significant gains or losses
  • Cryptocurrency transactions are generally irreversible once confirmed on the blockchain
  • Network congestion may result in delayed transaction confirmations
  • Smart contract vulnerabilities or blockchain network failures may occur
  • Regulatory changes may affect the legality or availability of cryptocurrency services
  • CoinCircuit does not provide financial, investment, tax, or legal advice
  • You are solely responsible for determining the tax implications of your transactions
  • CoinCircuit is not liable for losses due to market volatility, network issues, or user error
  • Copy, modify, adapt, translate, or create derivative works of the Service
  • Distribute, sell, resell, rent, lease, sublicense, or transfer the Service to any third party
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use CoinCircuit's trademarks, logos, or branding without express written permission
  • Frame or mirror any part of the Service without authorization
  • Use the Service to develop competing products or services
  • Modify, suspend, or discontinue any part of the Service at any time
  • Perform scheduled or emergency maintenance
  • Impose limits on certain features or restrict access to parts of the Service
  • Update or change APIs, features, and functionality
  • Violation of these Terms or any applicable laws
  • Failure to comply with KYC/AML requirements
  • Suspected fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Requests by law enforcement or regulatory authorities

  • You remain liable for all fees and charges incurred prior to termination

  • Warranties of merchantability, fitness for a particular purpose, non-infringement, or title
  • Warranties arising from course of dealing or course of performance
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of information

  • DAMAGES ARISING FROM ERRORS IN TRANSACTION PROCESSING
  • DAMAGES ARISING FROM THIRD-PARTY ACTIONS OR SERVICES
  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your violation of any applicable laws or regulations
  • Any fraudulent, negligent, or wrongful conduct
  • Any content or data you submit through the Service
  • Disputes between you and your customers or third parties
  • Informal Resolution: You agree to contact us first at legal@coincircuit.io to attempt to resolve any dispute informally for at least 30 days before initiating formal proceedings
  • Arbitration: If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the Lagos Court of Arbitration
  • Jurisdiction: Any disputes not subject to arbitration shall be brought exclusively in the courts located in Lagos, Nigeria, and you consent to personal jurisdiction in such courts
